5th Annual Conference Mentorship Waiver

Effective Date: Friday, February 14, 2025

This WAIVER AND RELEASE AGREEMENT, DISCLAIMER, AND MEDIA CONSENT (hereinafter “Agreement”) is made and entered into as of the date set forth above (the “Effective Date”) between the Council of Young Filipinx Americans in Medicine (“CYFAM”) and the undersigned, who has applied to participate as either a volunteer mentor (hereinafter “Mentor”) for CYFAM’s 5th National Conference Mentorship Program (hereinafter “Conference Mentorship Program”) or as a mentee (hereinafter “Mentee”) who has applied to participate as a Mentee for Conference Mentorship Program.

This agreement and release of liability is intended to acknowledge the disclaimers described below, to seek a release of CYFAM’s liability and media consent as described below.

A. DISCLAIMER

  1. By entering into this Agreement, the Mentor and/or Mentee acknowledges that CYFAM’s role is simply to connect the Mentors to Mentees who have registered their interest in providing mentorship and general career guidance. CYFAM has not performed any background checks on any Mentors. In addition, CYFAM makes no warranty that any particular level of mentoring services shall be provided.

B. MENTOR RELEASE AND MEDIA CONSENT

In return for the participation of the Mentor to the Conference Mentorship program, the Mentor hereby acknowledges and agrees as follows:

  1. I hereby indemnify and hold CYFAM, and respective directors, officers, managers, members, staff, employees and agents harmless from and against any and all claims, expenses (including reasonable attorneys’ fees), liabilities, demand, lawsuit or other proceeding by or on behalf of any person seeking to enforce any right or liability waived, discharged or released above whatsoever arising, directly or indirectly, from any breach of my representations herein, or my actions or inaction at, or participation in, the Conference Mentorship Program.

  2. I participate in the Conference Mentorship Program at my own risk. I (on my own behalf and on behalf of any heirs, administrations, executors or others claiming by or through me) hereby waive and forever release CYFAM and its existing, former and future directors, officers, managers, members, staff, employees, agents, representatives, subsidiaries, predecessors, successors, affiliates, and related entities, of and from liability for any death, injury, loss or damage and any and all claims, actions, charges, suits, liabilities, contracts, agreements and promises, of any kind or nature whatsoever, which I may have or assert against any of them, arising out of or relating to my participation in the Conference Mentorship Program, including but not limited to my participation in lectures, workshops, and online meetings, and any activities in which the CYFAM asks me to participate.

  3. When applicable, I understand that CYFAM may, in whole or in part, (i) record my lecture(s), presentation(s),  and/or workshops(s) (“Content”) via online recording and/or any other recording medium (“Recordings”); and (ii) broadcast my recordings live, via video feed, Web cast, or satellite, and/or archive the Content for future publication and distribution, via any electronic media, including, without limitation, videotape, DVD, CD-ROM, Internet, or satellite, with the sole purpose of educating future physicians and/or physicians in training, and/or any member of the general public. I further understand that any recordings made shall be provided to CYFAM, and CYFAM shall have the non-exclusive, unrestricted, worldwide, royalty-free license to copy, distribute, excerpt and otherwise use such Recordings, in any format or media (whether electronic, printed or any other media now known or that may be developed), for any CYFAM purpose at any time.

  4. I hereby represent and warrant that the content of any presentation that I make during my participation in the Conference Mentorship Program shall be accurate to the best of my knowledge; shall not violate any copyright, proprietary rights or personal rights of others; and the materials, including photographs, used shall not identify, by name or otherwise, suggest the identity of, or present a recognizable likeness of any patient or other individual; or, if they do, I shall have obtained all necessary written consents from the subject individual for the further use, distribution and publication of such materials, including, without limitation, specific consent not only to use the image in the presentation, but also in any future broadcast, publication or dissemination of the presentation in any form or media.

  5. I convey to CYFAM all rights, titles, and interests in any and all photographs, images, video, or audio recordings of Mentor or Mentor’s likeness or voice made by CYFAM in connection with my participation to the Conference Mentorship Program (collectively, “Media”). I acknowledge that CYFAM may freely use such Media on its Website and in connection with marketing of the Conference Mentorship Program.

  6. I acknowledge that this release and waiver is to be interpreted as broadly and inclusively as is permitted by law, and that should any portion of it be deemed unlawful or unenforceable, the remainder shall continue in full force and effect and shall be interpreted to conform as closely as possible to the intentions expressed herein.

C. MENTEE RELEASE AND MEDIA CONSENT

In return for the participation of the Mentee to the Conference Mentorship program, the Mentee hereby acknowledges and agrees as follows:

  1. I hereby indemnify and hold CYFAM, and respective directors, officers, managers, members, staff, employees and agents harmless from and against any and all claims, expenses (including reasonable attorneys’ fees), liabilities, demand, lawsuit or other proceeding by or on behalf of any person seeking to enforce any right or liability waived, discharged or released above whatsoever arising, directly or indirectly, from any breach of my representations herein, or my actions or inaction at, or participation in, the Conference Mentorship Program.

  2. I participate in the Conference Mentorship Program at my own risk. I (on my own behalf and on behalf of any heirs, administrations, executors or others claiming by or through me) hereby waive and forever release CYFAM and its existing, former and future directors, officers, managers, members, staff, employees, agents, representatives, subsidiaries, predecessors, successors, affiliates, and related entities, of and from liability for any death, injury, loss or damage and any and all claims, actions, charges, suits, liabilities, contracts, agreements and promises, of any kind or nature whatsoever, which I may have or assert against any of them, arising out of or relating to my participation in the Conference Mentorship program, including but not limited to my participation in lectures, workshops, and online meetings, and any activities in which CYFAM asks me to participate.

  3. I convey to CYFAM all rights, titles, and interests in any and all photographs, images, video, or audio recordings of Mentee or Mentee’s likeness or voice made by CYFAM in connection with my participation in the Conference Mentorship Program (collectively, “Media”). I acknowledge that CYFAM may freely use such Media on its Website and in connection with marketing of the Conference Mentorship Program.

  4. I acknowledge that this release and waiver is to be interpreted as broadly and inclusively as is permitted by law, and that should any portion of it be deemed unlawful or unenforceable, the remainder shall continue in full force and effect and shall be interpreted to conform as closely as possible to the intentions expressed herein.

I hereby acknowledge that I am 18 years of age or older and I understand the legal consequences of signing this document including (a) releasing CYFAM for all liability, (b) promising not to sue CYFAM, (c) and assuming all related risks of participating in this Conference Mentorship program, both known or unknown to me.

I certify that I have read this document and I am signing it freely. I understand that this document is written to be as broad and inclusive as legally permitted. I fully understand its content and I agree to be bound by its terms until confirmation of written receipt of notification from me that I decline further involvement in CYFAM’s 5th National Conference Mentorship Program from February 14th to 16th, 2025.
